When should a small-firm or solo attorney provide a legal opinion in a financing or other business transaction? Which opinion requests are fair and which are “out of bounds”? The customary standards for such transactional legal opinions have evolved significantly over the last 10-15 years, resulting in a number of broadly-accepted practices about appropriate language for different subjects. Any attorney who is asked to deliver a transactional legal opinion needs to be aware of these developments in order to avoid unnecessary professional risks.

David Dinwoodey is a solo practitioner in Boston whose practice focuses on business financings and other business transactions. He spent over 20 years as a business law partner at the Boston firm of Hutchins, Wheeler & Dittmar. Early in his career, he practiced with the Federal government and with a national real estate company. The common thread of experience throughout his career has been managing legal services for complex business financings and related business transactions. His responsibilities have included the drafting and negotiation of numerous legal opinions, and at Hutchins he served for 10 years as chair of the firm’s legal opinions committee. Part of his current practice involves occasionally advising other attorneys who are faced with questions about how to structure their transactional legal opinions. David has been an active attendee at BLN presentations.

The format will be a one-hour meeting from 8:00-9:00am (arrive at 7:45 for networking). A half-hour of networking after the meeting would be optional.

The Business Lawyers Network (BLN) is comprised of lawyers concentrating in complementary disciplines such as corporate, securities, commercial contracts, government contracts, secured lending, taxes, import/export, immigration, real estate, environmental, patents, trademarks, licensing, etc. Non-lawyer business professionals are also welcome, but the topic and focus of discussion will be geared toward the legal profession.
